Job Description
This Business Consultancy Services Company, serving international and local clients across corporate administration, advisory and compliance, is located in Limassol is looking for a Russian-speaking Head of Legal to lead its corporate function and act as a trusted adviser to the Board and executive team. In this role, you will set the legal strategy in line with business objectives; ensure robust governance and compliance; oversee day-to-day corporate, contractual and regulatory work across Cyprus and cross-border matters.
Responsibilities:
Develop and execute the firm’s legal strategy aligned to commercial goals.
Advise the Board of Directors and executive leadership on legal and compliance matters; prepare clear, actionable guidance and Board papers.
Establish, refine, and oversee policies, procedures and internal controls.
Draft, review and negotiate a wide range of agreements; ensure contracts align with strategic and operational requirements.
Advise on corporate governance, including board responsibilities and shareholder relations.
Manage and protect intellectual property portfolios and other company assets.
Champion a culture of legal excellence, collaboration and proactive problem-solving.
Prepare, review and file corporate documents with the Cyprus Registrar of Companies; including board and shareholder resolutions, annual returns (e.g. HE32) and other HE forms for corporate changes (officers, registered address, name, etc.); ensure accuracy and statutory-deadline compliance.
Liaise with clients, regulators, financial institutions in Cyprus and abroad and external service providers to coordinate corporate administration; follow up promptly and professionally with public authorities such as the Registrar of Companies, the Civil Registry and Migration Department, the Business Facilitation Unit, the Tax Department and the Social Insurance Services.
Perform client due diligence procedures; collect and review KYC documents; conduct AML checks for new and existing clients; maintain complete, current KYC files in line with internal policies and regulatory obligations.
Provide general legal and corporate support; assist Legal Consultants with drafting and reviewing corporate documents such as powers of attorney, minutes, and agreements.
Organise and maintain both physical and digital filing systems for corporate and legal records.
Requirements:
Master’s degree in Law (LLM or equivalent); a degree from a UK institution is an advantage. Other relevant degrees may be considered.
Approximately 3 years’ experience as a Head of Legal or equivalent senior role; ideally within a professional services firm, law firm or corporate services provider.
Proven team leadership and people-management skills.
Working knowledge of Cyprus corporate law and procedures; familiarity with AML/KYC requirements and related regulations; AML compliance training/certification is a plus.
Excellent verbal and written communication skills in Russian and English.
Proficiency in Microsoft 365, familiarity with Zygos or equivalent; confidence using online portals and e-filing systems such as the Registrar of Companies, Ariadne, and UBO/MECI/BFU; ability to learn specialised corporate-management software quickly.
Strong organisational skills and attention to detail; ability to manage multiple deadlines; proactive, discreet, and professional; able to work independently and within a team.
Working hours:
The working hours are Monday to Friday, 08:00–17:00 with a one-hour lunch break 13:00–14:00. This is an on-site only position in Limassol.
